PTA grants conditional nod as PTCL accepts terms for Telenor Pakistan acquisition

In a major step toward reshaping Pakistan’s telecom landscape, the Pakistan Telecommunication Authority (PTA) granted conditional approval to Pakistan Telecommunication Company Limited (PTCL) for the acquisition of Telenor Pakistan, marking a significant breakthrough in one of the sector’s most anticipated deals.

As per officials, PTA had sought a formal response from PTCL on whether it would accept the regulator’s conditions attached to the merger-and-acquisition process. PTCL then conveyed unconditional acceptance, clearing a major regulatory hurdle that had lingered for months.

This development paves the way for the final regulatory processing of the multi-billion-rupee transaction, which is expected to alter market competition dynamics ahead of the next spectrum auction.

The approval also signals that PTA is satisfied with PTCL’s commitments regarding service continuity, consumer protection, network integration, and post-merger compliance requirements.

Industry analysts say the deal—once fully approved—will consolidate PTCL Group’s position as the country’s second-largest telecom operator, while Telenor exits Pakistan after nearly two decades.

With PTCL’s unconditional acceptance now on record, the merger process is set to accelerate as remaining procedural steps move toward completion.
