SECP launches probe into SE Fruits and Vegetable IPO
- Move is aimed at reviewing approval framework to address potential gaps
The Securities and Exchange Commission of Pakistan (SECP) has launched an investigation into disclosures made in the initial public offering (IPO) of SE Fruits and Vegetable Limited and will review its IPO approval framework to address potential gaps and strengthen investor protection.
According to a statement issued on Monday, the investigation will examine the accuracy and completeness of disclosures in the IPO prospectus and determine whether any omissions, gaps or negligence occurred in reporting information, as well as establish responsibility.
The inquiry will review the Pakistan Stock Exchange’s (PSX) role as a front-line regulator, the due diligence conducted by the consultant to the issue, its role in preparing the prospectus and certifying its accuracy, and the auditor’s examination of the company’s financial statements.
The SECP will also scrutinise its internal procedures for reviewing and approving IPO applications.
The findings will guide improvements to the IPO review and approval framework, including measures to ensure accurate and adequate disclosures, strengthen accountability among auditors and consultants, identify and report material issues in a timely manner, and improve coordination between the PSX and the SECP.
“Every IPO must meet clear standards of disclosure, transparency, scrutiny and accountability,” SECP Chairman Dr Kabir Sidhu said.
“We will act firmly where failures are established and use the inquiry’s findings to close gaps in the IPO regime. Our objective is a rigorous and transparent approval process with adequate disclosures that protects investors and supports credible businesses seeking capital,” he added.
The SECP said the findings of the investigation would be made public.
