SECP urges companies to hold AGMs by October 28

The Securities and Exchange Commission of Pakistan (SECP) has advised companies whose financial year ended on June 30, 2026, to hold their Annual General Meeting (AGM) by October 28, 2026 and complete their Annual Return (AR) and Ultimate Beneficial Ownership (UBO) filings.

These companies are required to hold their AGMs within 120 days of the close of their financial year, the regulator said on Tuesday.

Following the AGM, companies must file Form A where particulars have changed, while Form 24 is required to be filed where particulars remain unchanged from the last AR, it said.

The regulator shared that single-member companies and private companies with paid-up capital of not more than Rs3 million are exempt from filing an Annual Return where there is no change in the particulars contained in their last return.

“Companies must also complete their annual UBO requirements, including issuing the required notices, obtaining declarations and updates, maintaining the UBO Register and filing Form-19 with the registrar alongside their AR. Where an AR is not required, Form-19 must be filed within 30 days of the end of the calendar year,” it added.

SECP also encouraged companies to review their records and prepare the required filings in advance to ensure timely compliance and keep corporate information up to date.
