KARACHI: Engro Corporation Limited has entered into a Share Purchase Agreement with Lotte Chemical Pakistan Limited for the sale of its entire 56.19 percent shareholding in Engro Polymer & Chemicals Limited (EPCL) for approximately Rs19.7 billion, subject to regulatory approvals and other customary conditions.
The transaction was announced by Engro Holdings Limited, the parent company of Engro Corporation. Under the agreement, Engro Corporation will sell and transfer its entire stake in EPCL to Lotte Chemical Pakistan.
The completion of the transaction remains subject to required regulatory approvals and fulfilment of other conditions. The companies said further updates would be made in accordance with applicable regulatory requirements.
EPCL has been part of Engro Corporation’s portfolio since 1997 and, according to Engro Holdings, has played a role in the development of Pakistan’s downstream petrochemicals sector.
The company operates what Engro describes as Pakistan’s only integrated chlor-vinyl complex, supplying products including PVC resin, caustic soda and hydrogen peroxide to downstream industries.
Engro Holdings said EPCL has also contributed to the development of technical capabilities in Pakistan’s manufacturing sector and served as a training ground for engineering talent in the petrochemicals industry.
The proposed sale comes after the 2025 restructuring of the Engro Group, which resulted in the creation of Engro Holdings as the group’s investment arm. Engro Holdings said the transaction is aligned with its approach of recycling capital into future growth opportunities aimed at strengthening its portfolio.
Abdul Samad Dawood, CEO of Engro Holdings, said EPCL had been one of Engro’s flagship businesses and that the proposed transaction would enable the group to realise value created over nearly three decades while allowing it to pursue new investment opportunities.
